1.2 iRobot Quality Standards Kin Yat shall meet the Quality Requirements as set forth in the iRobot Quality Manual and any additional Quality Requirements outlined by iRobot from time to time. Kin Yat will maintain a Quality Management System that meets or exceeds the requirements of an internationally recognized standard such as ISO 9001.

iRobot, or its designated representative must test the iRobot Product to verify that it meets the specifications. 2. Materials Declaration Requirements

3.7.1 Kin Yat will comply with all Materials Declaration requirements for all third party suppliers who supply Components to the Manufacturing Services. Kin Yat shall obtain, maintain and have available for inspection at all times documents which confirms that all third party suppliers and their Components are in compliance with the applicable Material Declaration Requirements. Kin Yat is solely responsible for the sufficiency and adequacy of this verification.

4.2.1 Kin Yat will only use components and materials that have been approved by iRobot to be employed in the Manufacturing Services, including any modifications to engineering or changes. Kin Yat shall be responsible for collecting, retaining and ensuring that it is readily available for inspection by iRobot or its designee any documentation that indicates that all of its third suppliers are in compliance with the applicable Material Declaration Requirements.

4.2.2 Kin Yat shall monitor and annually report to iRobot the percentage of Purchase Orders delivered on time, based on the definition of On-time by iRobot, which includes the delivery of all parts, materials and items ordered by iRobot within the Lead Time and any required shipping dates identified in the applicable Specifications for the Product. Kin Yat shall also maintain documents and records of all Supplier Quality Assurance activities, testing and evaluations.
